Saudi Public Investment Fund Nears EA
Expected European approval paves the way for completing the largest sponsored take-private acquisition in history

An investment consortium led by Saudi Arabia’s Public Investment Fund is nearing European Union approval to acquire American video game company Electronic Arts in a deal valued at approximately $55 billion.
The European Commission is expected to grant the deal unconditional approval under its merger rules by July 22. The review under the Foreign Subsidies Regulation is scheduled to conclude by July 30, unless the Commission decides to open an in-depth investigation. No final official announcement has yet been issued by the Commission or the parties to the transaction.
The deal is undergoing two separate European reviews. The first concerns the acquisition’s effect on competition within the market, while the second examines whether financing from outside the European Union gives the consortium an unfair advantage.
In September 2025, Electronic Arts announced a definitive agreement to be acquired by a consortium comprising the Public Investment Fund, Silver Lake, and Affinity Partners, transforming it from a publicly listed company into a private company.
Under the agreement, the company’s shareholders will receive $210 in cash per share, representing a 25% premium over its share price before reports of the deal emerged. The Public Investment Fund will roll over its existing 9.9% stake into the new ownership structure.
The financing includes approximately $36 billion in equity investment, alongside $20 billion in debt financing, of which $18 billion is expected to be drawn upon completion of the transaction. EA described the transaction as the largest all-cash sponsored take-private acquisition in history.
The company is expected to continue operating from its headquarters in Redwood City, California, with Andrew Wilson remaining as chief executive officer. The transaction will be completed after the remaining regulatory approvals are secured.
Electronic Arts is one of the world’s leading interactive entertainment companies and owns some of the most prominent gaming franchises and brands, including EA Sports FC, Battlefield, The Sims, Apex Legends, and Madden NFL.

Beyond Owning a Company
The transaction represents more than a major financial investment. It gives the consortium a position within an industry where gaming, sports, entertainment, technology, and intellectual property intersect.
EA’s value lies not only in the games it sells today, but also in the brands it owns, the digital communities surrounding them, and its experience in content development and managing platforms that reach hundreds of millions of players.
The acquisition therefore does not merely mean purchasing a gaming company. It means acquiring an influential gateway to the future of global entertainment.
An Extension of Saudi Arabia’s Strategy
The transaction is consistent with the Public Investment Fund’s strategy of building a long-term presence in the gaming and esports sector and connecting Saudi capital with companies that possess technology, content, and audiences.
The Fund manages assets exceeding $900 billion and invests in strategic sectors aimed at diversifying the economy and building new areas of growth inside and outside the Kingdom.
However, the transaction’s deeper national value will not be measured by the size of the ownership stake alone, but by the opportunities it could create to develop Saudi talent, support local studios, transfer knowledge, host production and development operations, and connect the Kingdom’s gaming industry with global networks.
A global acquisition becomes more influential when some of its benefits are transformed into sustainable local capabilities.
A Test of European Approval
The deal’s progress toward passing the European review carries additional significance, as the European Union has tightened its scrutiny of investments supported by foreign governments in recent years.
If the consortium receives approval without conditions or concessions, it would mean that the Commission found nothing in the financing structure or the effects of the transaction that warranted a prolonged investigation or corrective measures.
This would remove one of the most significant regulatory obstacles to completing the acquisition, although it would not mean the transaction is complete before all required approvals are issued.
A Major Opportunity and Greater Responsibility
The acquisition carries enormous opportunities, but it also comes with substantial financial and operational obligations, particularly with approximately $20 billion in debt financing.
The challenge after completion will be to achieve sufficient growth to support this financial structure while preserving the company’s ability to innovate and preventing cost-cutting from creating pressure that weakens the quality of its games or causes it to lose talent and audiences.
Major transactions do not succeed because of how much was paid for them, but because of the value created afterward.
From Investment to Influence
If the transaction is completed, the Public Investment Fund will not be entering an ordinary gaming company, but an institution that owns part of global digital culture and influences how people play, compete, communicate, and follow sports.
This is where the real transformation lies:
